These terms apply to vertodigital.com. Client engagements are governed by the Master Services Agreement and Statement of Work attached to your engagement — not this document.

These terms are short on purpose. They cover the public website: what you can do with it, what we can't promise about it, and how we'll sort out disagreements if one ever comes up. Paid engagements have their own contract.

You can browse, read, link to, and quote from this site for lawful business, research, and personal purposes. Please don't:

  • Attempt to break, probe or circumvent the site's security.
  • Use automated tools to scrape or republish our content at scale, or for competing commercial services.
  • Use the site to send spam, phish, distribute malware, or do anything unlawful.
  • Impersonate VertoDigital, our employees, or our clients.

We may block, rate-limit or withdraw access from users who violate these rules.

The site — including text, layout, graphics, case studies, research reports, and the VertoDigital name and brandmarks — is owned by Advert Ltd. or our licensors, and protected by copyright and trademark law.

You may quote limited portions of our published content for non-commercial purposes with attribution and a link back. You may not reproduce the site, any report, or any case study in whole or in substantial part without our written permission.

When you submit information to us — through a form, an email, or any other channel — you confirm you have the right to do so, and you grant us a non-exclusive, worldwide, royalty-free license to use that information for the purpose you sent it for (for example, replying to your enquiry, sending the resource you requested, or operating the service).

The site may link to third-party websites, or embed tools from third-party providers. We link to third parties we consider reliable, but we don't control them and we aren't responsible for their content, practices, or availability. Using a third-party site or tool is subject to that provider's own terms.

We publish benchmarks, case studies, and performance figures from our work with B2B clients. These are illustrative and accurate to the best of our knowledge at the time of publication, but they describe past performance in specific engagements — they are not a promise or prediction of the result you will see.

Outcomes depend on product–market fit, commercial model, competitive context, sales execution, and many other factors outside our control. Any engagement-specific outcome expectations are set out in the relevant Statement of Work — not on this website.

We make no warranties of any kind, express or implied, about the site's accuracy, completeness, fitness for a particular purpose, uninterrupted availability, or freedom from errors or harmful components, beyond those warranties that cannot be excluded under applicable law.

To the fullest extent permitted by law, VertoDigital and Advert Ltd. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill or business opportunity, arising out of or in connection with your use of the site — whether based on warranty, contract, tort (including negligence) or any other legal theory, and whether or not we've been advised of the possibility of such damages.

Our aggregate liability arising out of or related to your use of this site is limited to one hundred euros (€100). Nothing in these terms limits liability that cannot be limited under applicable law — for example, for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

You agree to defend, indemnify and hold harmless Advert Ltd., its affiliates, and their respective officers, directors, employees and agents from any claim, damage, liability or expense (including reasonable legal fees) arising out of your violation of these terms, your misuse of the site, or your infringement of a third party's rights.

10Governing law and jurisdiction

Governing law and jurisdiction

These terms are governed by the laws of the Republic of Bulgaria, without regard to its conflict-of-laws rules. The competent courts of Sofia, Bulgaria have exclusive jurisdiction over any dispute arising out of or related to these terms or the site, except that we may bring proceedings to protect our intellectual property in any competent jurisdiction.

If you are a consumer in the EU, this clause does not deprive you of the protection of mandatory provisions of the law of the country where you are habitually resident.
